1. GENERAL TERMS
1.1 Yelsa Connect Platform Services
Yelsa Connect (“the Platform”) is an online advertising platform that facilitates connections between Buyers, Vendors, Agents, and Mortgage Brokers through the Yelsa Connect Buyer Match system.
1.2 Buyer Contact Details
Buyer contact details, such as names and other identifying information, remain confidential and are accessible only to Yelsa-affiliated licensed real estate professionals (referred to as Agents) who are authorised by Vendors to facilitate connections. Only Agents listed in the Yelsa Connect Professionals Directory may access Buyer matches on behalf of Vendors. While Yelsa Connect conducts an initial review of each Agent before listing, licensing is governed by the Real Estate Agents Authority. Yelsa Connect disclaims responsibility for any professional failures by Agents; Agents are subject to compliance under the Real Estate Agents Act standards.
1.3 General Membership Registration
To access Yelsa Connect, all users must first register as standard members by providing their name, email address, and cellphone number. Yelsa Connect verifies email addresses and may verify phone numbers to ensure authenticity.
2. ACCESS TO YELSA CONNECT SERVICES
2.1 Access to Buyer Contact Details
To access Buyer contact details, Vendors must appoint a licensed real estate professional from the Yelsa Connect Agent Directory. Vendors may initially consult multiple agents but may authorise only one Agent to facilitate Buyer interactions on their behalf.
3. USER GROUP TERMS
3.1 Buyer Profiles
3.1.1 Buyer Profile Requirements
A Buyer profile details property requirements, location, budget, and other preferences. Once published, a Buyer profile becomes visible to Vendors seeking matching Buyers.
3.1.2 Buyer Details Confidentiality
Identifying information, such as names and contact details, remains confidential, accessible only to licensed real estate professionals authorised by Yelsa Connect.
3.1.3 Appointing an Agent for Buyer Details
To access Buyer details, Vendors must appoint a licensed real estate professional from the Yelsa Connect Agent Directory. Vendors may initially consult multiple agents but may authorise only one Agent to access Buyer details and facilitate connections on their behalf.
3.1.4 Agent Confirmation and Success Fee
Once the Agent has received written authorisation to represent the Vendor’s property, they must agree to a success fee of $1,000 plus GST, payable within seven days of invoice issuance if a Buyer connected through Yelsa Connect successfully purchases the property.
3.1.5 Buyer Profile Fees and Commission Disclosure
- One-Time Fee: A Buyer profile incurs a one-time registration fee of $259 NZD.
- Complimentary Buyer Profiles by Mortgage Brokers: Mortgage brokers may create and offer a complimentary Buyer profile on behalf of their clients. Buyers acknowledge that when a property is successfully purchased through a Yelsa Connect match using a complimentary profile, the broker may receive financial compensation for the introduction.
3.2 Selling Profiles (Vendors and Agents)
3.2.1 Creating a Selling Profile
Vendors may create a property selling profile by entering the address and intended price range. Yelsa Connect’s system performs an internal Buyer match, generating a summary that displays the number of potential Buyers actively seeking properties within the specified location and budget range. Agents affiliated with Yelsa Connect can create and manage an unlimited number of Buyer matches.
3.2.2 Automatic Buyer Matching and Notifications
Yelsa Connect’s system automatically updates Vendors and their designated Agents with relevant Buyer matches as new or updated Buyer profiles are added to the system. Notifications are sent each time a Buyer’s profile aligns with the Vendor’s property specifications. Full access to Buyer information, however, remains available exclusively to the Vendor’s appointed Agent.
3.2.3 Engaging a Licensed Real Estate Agent
To gain access to detailed Buyer information, Vendors must appoint a licensed real estate professional from the Yelsa Connect Agent Directory. Vendors may consult multiple agents before choosing one to represent them, but only the appointed Agent can manage Buyer interactions. Agents are required to act in compliance with the Real Estate Agents Act 2008 and must confirm their legal authority to represent the Vendor before obtaining access to Buyer details.
3.3 Licensed Real Estate Professional Profiles (Agents)
3.3.1 Eligibility and Registration
Only real estate professionals holding a current Salesperson, Branch Manager, or Agent license from the Real Estate Agents Authority may register as Affiliated Agents. Affiliated Agent status provides access to Buyer matches on the platform and requires strict adherence to the responsibilities outlined in these Terms and Conditions and Yelsa Connect’s privacy policies.
3.3.2 Obligations and Responsibilities
Affiliated Agents are expected to uphold a high standard of professional conduct, including managing Vendor and Buyer relationships with transparency and integrity. Agents must provide accurate, impartial, and lawful representation consistent with the terms of their real estate license and maintain compliance with all relevant legal and regulatory standards.
3.3.3 Success Fee
When a Buyer introduced through Yelsa Connect completes a property transaction, the registered Agent will be invoiced for a $1,000 Success Fee plus GST. This invoice must be paid within seven days of issuance. Failure to make payment may result in suspension of the Agent’s profile and restricted access to Yelsa Connect’s platform and associated services.
3.4 Mortgage Broker Profiles
3.4.1 Eligibility and Registration
To qualify as an Affiliated Mortgage Broker on Yelsa Connect, applicants must meet registration standards and hold active credentials as either a Registered Financial Adviser (RFA) or an Authorised Financial Adviser (AFA) under the Financial Advisers Act 2008. Affiliated Mortgage Brokers are granted the ability to offer complimentary Buyer profiles to pre-approved clients, enhancing the matching process on the Yelsa Connect platform.
3.4.2 Services and Complimentary Buyer Profiles
Affiliated Mortgage Brokers may issue an unlimited number of complimentary Buyer profiles to eligible clients. When a Buyer introduced via Yelsa Connect successfully completes a property transaction, the Affiliated Mortgage Broker may qualify for compensation under the Yelsa Connect platform’s terms.
3.4.3 Obligations and Compensation Disclosure
Affiliated Mortgage Brokers are required to comply with the Secret Commissions Act 1910 and fulfill all licensing requirements under the Financial Advisers Act 2008. This includes disclosing any compensation, gifts, or financial benefits received in association with complimentary Buyer profiles. By engaging with the platform, Buyers acknowledge and accept the possibility of such remuneration arrangements.
4. ADDITIONAL TERMS AND CONDITIONS
4.1 Profile Creation Limits and Fees
Professional members may create unlimited Buyer and Vendor profiles for clients, with each profile subject to applicable fees, terms, and conditions specified where applicable. Fees are clearly detailed and require acceptance prior to the delivery of any service requiring a fee.
4.2 Member Responsibility and System Reminders
Yelsa Connect provides in-app reminders to highlight the obligations associated with each profile type, requiring confirmation before publication. It remains the responsibility of each member to thoroughly review and understand all Terms and Conditions.
4.3 Liability Limitations and Disclaimer
Yelsa Connect disclaims liability for professional failures by Agents, or other professionals introduced through the platform. Licensing and oversight remain the responsibility of regulatory bodies, and any service-related concerns should be directed to the Real Estate Agents Authority.
4.4 Amendments to Terms and Fees
Yelsa Connect reserves the right to amend these Terms and Conditions or adjust fees at its discretion. Members will be notified of significant changes via the platform, and continued use following notification implies acceptance of amended terms.
4.5 Privacy and Additional Policies
These Terms and Conditions should be read alongside Yelsa Connect’s Privacy Policy, detailing measures for protecting member privacy and managing information in accordance with applicable laws and regulations. The Privacy Policy outlines how personal data is collected, stored, used, and shared, ensuring transparency and compliance with applicable privacy laws.
4.6 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws applicable to Yelsa Connect’s jurisdiction. Any disputes arising from these Terms and Conditions or the use of Yelsa Connect shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
